The winpppoverethernet.exe process is a part of the WinPoET, which is a Windows-based PPP over Ethernet client providing support for PPPoE (Point-to-Point Protocol Over Ethernet). It enables your ISP to connect you to DSL/ADSL access in a manner that looks to you as if you are connecting via a standard modem, except that you are in fact connecting via a network card.
